Under the general guidance of the General Counsel, the VP/Assistant General Counsel is responsible for handling complex legal matters and actively engages with internal clients in the areas of urology, gastroenterology, labs, clinical trials, ASCs, other ancillary service lines, as well as customers, vendors or other third parties to provide solution-oriented counsel to solve complex problems in support of business objectives, while also focusing on risk mitigation, dispute avoidance and resolution counseling. Development of company policies and processes, draft and review legal documents, negotiate deals, administer contracts and represent the company in legal proceedings. This position requires a dynamic person who is a critical thinker with an eye for detail and the ability to work in a distributed fast-paced environment.
What You Will Be Doing
- Consult and handle assigned corporate and healthcare legal matters and processes (e.g., intellectual property, mergers & acquisitions, compliance, real estate, contracts / agreement drafting and risk review, and disputes/litigation matters.)
- Develop company policy and position on varied legal issues.
- Research, anticipate and guard company against legal risks.
- Guide diverse constituency to ensure compliance with rules and regulations.
- Negotiate deals documents and conduct due diligence.
- Assists with the creation, updating and maintaining of legal processes, contract templates, playbooks, SOPs, etc.
- Applies solid understanding of laws, regulations and legal principles relevant to day-to-day work and remain up to date with current legal risks to assess and proactively advise on potential or emerging business risks.
- Assists with all areas of the business including labs, physician practice matters, pharmacy, clinical trials, real estate matters, provider discipline.
- Represent company in legal proceedings (administrative boards, court trials, etc.)
- Other duties or schedules, including holidays, nights, or weekends, may be assigned based on business needs.
What You Will Bring To The Team
- Current license to practice law, in good standing.
- JD degree; prior healthcare experience required.
- At least 6 years of corporate or business legal experience with a focus on transactional matters.
- General knowledge of and experience with healthcare laws and their unique challenges.
- Demonstrated leadership skills with team members of diverse backgrounds and disciplines.
- Ability to use technology and software programs (e.g., Microsoft Suite, Teams, contract lifecycle management database).
